Alloy River builds agentic applied AI for finance and accounting. Accounting today is fragmented, manual, and reactive. We believe it should be intelligent, structured, and operationally decisive. Our mission is to transform finance from a slow, labor-intensive, reporting function into a real-time, strategic engine for profit and control.

We re-architected the general ledger from first principles, and layered automation, workflow orchestration, and applied AI directly into its core. Instead of accountants moving data between tools and managing checklists, our system produces outcomes, surfaces exceptions, and compounds leverage over time. This is not incremental improvement. It is a ground-up redesign of financial infrastructure for an AI-native world.

We raised over $30m to date from Portage Ventures, Electric Capital, Elad Gil, and angels like Tobi Lütke, Balaji Srinivasan, and many more. We’re scaling what we do with the best builders, operators, and craftspeople in the world.

Role Overview

This is Alloy River's first in-house legal hire. You will build the legal function from the ground up, advising the CEO and leadership team on everything from commercial contracts and M&A to company structure, data privacy, regulatory compliance, and employment matters. The right person is looking to be a genuine business partner at a company that moves fast, handles sensitive financial data, and is acquiring businesses. You will need good judgment, high drive, and the ability to tell the difference between a real risk and a theoretical one.

What You'll Work On

  • Own the full scope of Alloy River's legal needs across Canada and the US - commercial contracts, M&A, data privacy, employment, regulatory compliance, and corporate governance.

  • Draft, review, and negotiate commercial agreements - customer contracts, vendor agreements, NDAs, and partnerships - and build the templates that let the business move quickly.

  • Support M&A due diligence - reviewing legal documents, identifying risks, and working alongside external counsel on transactions.

  • Own Alloy River's compliance posture across Canadian and US data privacy regulations, and monitor the regulatory landscape as it applies to applied AI in financial services.

  • Advise on employment matters and maintain corporate records as the company grows.

  • Be the legal voice in the room - a partner who helps the business make better decisions faster, not a blocker.

  • Work with external counsel on specialized matters where depth is needed.

  • Occasional operational work that extends beyond legal, like taking the lead on SOC2 compliance certification.

What We're Looking For

This role requires someone who has practiced law at a high level and is ready to step into an in-house role where the work is broad, the stakes are real, and there is no one to hand things off to. Law firm experience is valuable, but what matters most is whether you have the judgment and commercial instincts to operate as a genuine business partner.

  • Called to the bar in Ontario with 7+ years of experience in private practice or in-house.

  • Experience supporting M&A processes, due diligence, or corporate transactions.

  • Strong commercial law background - contracts, corporate transactions, and commercial negotiations.

  • Familiarity with data privacy law and regulatory compliance in a technology or financial services context.

  • Comfortable managing US requirements with the support of outside counsel.

  • The ability to give clear, direct legal advice that enables decision making.

  • Comfortable being the only lawyer in the room.

  • Some days are high-stakes strategy. Some days are contract redlines. You are good either way.

  • Desire to, when needed, flex into ops work that needs senior guidance and ownership.

Bonus experience includes:

  • Experience at a fintech, financial services, or SaaS company.

  • Familiarity with AI regulatory developments in Canada and the US.

  • Experience advising on equity compensation, financing rounds, or investor agreements.

  • Familiarity with US legal requirements.

Compensation & Location

This role pays $160,000-$220,000 CAD, plus equity. This role is in-person full-time at our gorgeous office in Liberty Village, Toronto.
